Our Law Firm provided comprehensive legal services to a leader in terms of implementation and maintenance of SAS services with respect to an acquisition by EY.
The transaction consisted in separating out an organized part of the enterprise and selling it to the investor. The significant legal issues concerned the mechanism of payment of profit to the shareholders who, at the moment of sale, became partners in EY, the transfer of rights and obligations under contracts, and safeguarding the transaction from the tax point of view.
