Preparation of licensing models and contract template packages for the US and UK market for a Polish IT company

Our Law Firm provides day-to-day legal services to a leading Polish provider of cloud and AI services. We assisted in incorporating client’s subsidiaries in USA and UK. We render legal consultation to all entities from the Group, which includes drafting and negotiating contracts with customers from all over the world, corporate and tax consultations, as well as back-office issues.
One of the most interesting projects we were engaged in was development of a licensing model and preparation of the package of contract templates concerning Cloudboostr, a proprietary product The company. The documents we prepared allowed for multi-variant availability (licensing) and servicing of the Cloudboostr product in SaaS model, as part of its commercialization on the US and Western Europe markets.
While working on the documents, it was necessary to take into account: (i) legal aspects of the TMT market in the US, (ii) IT product commercialization practices, as well as (iii) the implications of operating the product in the cloud, (iv) specific technical aspects of an innovative product (native software in the cloud, integrating source technologies, such as Cloud Foundry and Kubernetes), and (v) the specificity of various types of open source licenses and different rules for their further release regarding many open source components included in Cloudboostr product.
