The Academy of Capital Companies 2022 has been launched. For a few months, you can listen to numerous experts in company law and business law sharing their knowledge and the latest industry trends for free. As many as four lawyers from our firm will participate in the event. During the meetings, they will discuss, among others, investment funds, company purchases, and investing in insolvency.

Our specialists have many years of experience in corporate law. Many of them support our clients daily in raising funds, obtaining financing, or carrying out multi-million investment processes.
Mariusz Purgał specializes in legal and financial advisory in commercial trading. In particular, he deals with liquidity management in emergencies, including insolvency and restructuring law. In addition, he has extensive experience in corporate law, working with both domestic and foreign clients daily.
Paulina Opiełka supports entrepreneurs in the commercialization of R&D results, raising capital from private and public funds, and divestment processes. She advises several VC funds co-financed by NCBR and PFR. In addition, she negotiates investment agreements and coordinates legal and financial due diligence. The value of the projects managed by the firm ranges from several to over one hundred million PLN.
Agnieszka Haładyj-Janota has many years of experience providing day-to-day services to entrepreneurs, negotiating contracts, and representing clients at all stages of court proceedings, including the Supreme Court. In addition, she has conducted many complex proceedings concerning, among others, investment disputes or liability of management board members towards companies and third parties.
Mateusz Sordyl specializes in commercial companies’ law, investment processes, and corporate consultancy. He also deals with current corporate services for companies, private equity investors, and venture capital funds. In addition, he participates in due diligence studies, M&A transactions, and proceedings for entry in the register of managers of alternative investment companies.
Topics
Funds in Venture Capital Transactions
During meetings, seminars, and panel discussions, our lawyers will take up the topics they deal with daily. First, on 24 March, Paulina Opiełka will participate in the seminar “Funds in Venture Capital Transactions – Role, Structure, Strategy”. During the meeting, she will answer questions such as:

- What will be the role of the Venture Partner?
- What to do to maximize profits without capital?
- What changes in investing will 2022 bring?
Transactions on shares or assets?
A day later, on 25 March, our experts will conduct a meeting “Transactions with shares or with assets? When to buy a company and when to buy its enterprise”. They will present two models related to company acquisitions – transactions with shares and transactions involving the acquisition of a company or its organized part. Based on a case study, participants will consider the pros and cons of each of these solutions in practice. They will also work out contracts based on the acquisition.
Investing in the insolvency or investing in distressed assets
On 28 April, Mariusz Purgał will moderate the debate “Investing in bankruptcy or investing in distressed assets”. He will discuss, among others
- What are the risks of investing in distressed assets beyond execution or bankruptcy?
- In what situations it is worth considering the purchase of distressed assets on the “open market”?
- What are the advantages of investing in restructuring/ insolvency?
- What are the ways to optimize the acquisition of debtor assets?
- How to take care of the investor’s safety?
