We had a great pleasure to participate in an investment project in an international manufacturer and distributor of outdoor lighting. As part of the transaction, we represented one of Norlys’ key shareholders and the new president of the group in negotiations with the remaining shareholders and the private equity fund Avallon MBO, which became a strategic shareholder of the group.
Both entities involved have impressive experience in the market. Avallon has been involved in equity investments for 25 years. The fund is an experienced pioneer in the management buyout market in Poland and has participated in more than 100 management buyout transactions to date. In turn, Norlys’ history begins in the 1950s in Norway. And for 25 years, the company has been expanding on the Polish market, establishing a production plant in Nowy Sacz and changing the lighting industry throughout Europe.
During the investment procedure, the Law Firm acted as an intermediary, looking for a compromise between each of the parties. The project consisted of several stages, from very extensive due diligence, through multilateral negotiations of preliminary contracts, to finalization of the transaction. The project involved long-term legal support involving our experienced lawyers from compliance and corporate departments. The process was coordinated by Marcin Wierzbicki, partner, and Paulina Opiełka, leader of the corporate department.
