KWKR projects worth remembering: from early-stage investments to international expansion with Ailleron and Software Mind

As part of our rebranding, we want to share some of the key projects that reflect KWKR’s strength and experience. This time, we are proud to showcase our long-standing collaboration with Ailleron, Software Mind and Enterprise Investors – a partnership that illustrates the full spectrum of our legal support: from an initial strategic investment, through international acquisitions, to consolidation and exit. This multi-year cooperation demonstrates KWKR’s ability to provide comprehensive legal advice to fast-growing, internationally active technology companies.

The starting point – strategic investment by Enterprise Investors

Our journey with Software Mind began with a pivotal investment transaction that laid the foundation for the company’s international growth. KWKR advised Ailleron – a leading provider of cutting-edge tech products and services – during the preparation and negotiation process of a strategic investment deal.

As part of this transaction, one of the largest private equity firms in Central and Eastern Europe, Enterprise Investors, invested PLN 111 million in Software Mind by acquiring part of the existing shares from Ailleron for PLN 40 million and injecting PLN 71 million as new capital. This gave the fund a 50.2% stake in Software Mind, while Ailleron retained operational control over the company.

This foundational investment enabled the execution of an ambitious strategy to build a leading software group in both the Polish and global markets.

International expansion – acquisitions in North and South America

The next phase of our cooperation involved supporting Software Mind in its first major international acquisition. Our client acquired a majority stake in Virtual Mind, an IT services company operating in Argentina and the United States. With over 15 years of experience, Virtual Mind had delivered projects for North American clients such as Khoros, Naviga, Disco, Trio, Quik!, Reveal Markets and Gopuff, offering innovative software, flexible teams, evolving mobile solutions and intuitive UI/UX design.

Software Mind’s acquisition of 70% of Virtual Mind was another milestone in its international expansion strategy. Our legal support focused on facilitating the entire transaction process and aligning the interests of multiple parties in accordance with Polish, US, Argentine and English law. Our experts also addressed key tax aspects, demonstrating deep knowledge of corporate, contractual and cross-border law.

Prosoft LLC – the group’s largest acquisition to date

Another major milestone was the acquisition of US-based Prosoft LLC (owner of the number8 brand), valued at nearly USD 50 million – the largest transaction in Software Mind’s history. The deal was financed partly with the company’s own funds and partly through a PLN 150 million credit facility granted by BNP Paribas S.A.

Full consolidation of US assets

The final phase of our support involved advising on the full consolidation of Software Mind’s US capital group. We provided legal assistance in the indirect acquisition of the remaining 30% of shares in the American entities Virtual M Inc. and The Big Three 912 Inc.

Following the completion of the transaction, our client became the indirect 100% owner of both Delaware-based companies. KWKR led the negotiation of the purchase agreement terms and coordinated the international signing and closing process, working closely with US and Argentine counsel as well as the client’s in-house legal team.

Full-cycle support – from startup to international tech group

Our long-term collaboration with Software Mind is a prime example of comprehensive legal support for a technology company throughout all stages of growth. From the initial strategic investment by Enterprise Investors, through cross-border acquisitions, to full group consolidation – we have been there at every step of Software Mind’s transformation from a local software house into a global tech player.
