Our main task was to draft documentation transaction as part of an investment process. The investment was carried out by a fund operating within activity 3.1.1 of Operational Program Smart Development, which is co-financed by the Polish Development Fund. Transaction documentation included an investment agreement and a memorandum of association.

Drafting the documentation required taking into account the regulations related to an EU-financed program, guaranteeing private investors with special rights, and including provisions concerning the drag-along right, the tag-along right, and anti-dilution, which are typical of venture capital and private equity projects.
