A company operating in the recycling sector

One of the tasks we carried out for the company was the drafting of transaction documentation as part of an investment process. The investment was carried out by a fund operating within activity 3.1.1 of Operational Program Smart Development, which is co-financed by the Polish Development Fund.

Transaction documentation included an investment agreement and a memorandum of association.
Drafting the documentation required taking into account the regulations related to an EU-financed program, guaranteeing private investors with special rights, and including provisions concerning the drag-along right, the tag-along right, and anti-dilution, which are typical of venture capital and private equity projects.
