Konieczny Wierzbicki provided legal advisory to a company listed on the main market of the Warsaw Stock Exchange on a merger of that listed company with a growing company producing board games. The project included agreeing on the merger plan, resolving key legal issues related to new regulations regarding the offering and introduction of financial instruments to organized trading, adopted on national and European level, as well as preparation of comprehensive transactional documentation.
Konieczny Wierzbicki additionally provided legal advice in every step of the process, ending with a registration of new shares in the share registry kept by the Polish Financial Supervision Authority in accordance with domestic regulations on public offerings. The crucial issue to solve was to determine whether this project would require the preparation of a prospectus or information memorandum concerning the number and characteristics of the addressees to whom the offer to acquire new shares as a result of the merger was to be addressed.
Handling the transaction required extensive experience in terms of mergers and public offerings of financial instruments, especially in the light of the newest regulation 2017/1129 on the prospectus and conditions for introducing financial instruments to public trading. What is more, expert knowledge of the Warsaw Stock Exchange market was indispensable to ensure prompt finalisation of the project. This project was successfully finalized in June 2020.
