Our client is the company that specializes in the development of SLS 3D printers. They give access to advanced and affordable 3d printer in SLS (Selective Laser Sintering) technology focusing on ease of use, versatility, and availability. They goal is to pioneer the process in which new technologies like 3D printing will revolutionize manufacturing.
SLS technology is the next step in 3d printing: it makes possible to print objects that are difficult or impossible to be printed in FDM (Fused Deposition Modeling) technique – the most popular technology in the 3d printing market.
Konieczny Wierzbicki Law Firm participated in negotiating and concluding an investment agreement, regarding a capital investment of the EEC Magenta fund in the company, which specializes in the production of innovative 3D laser printers. The fund’s resources come partially from public funds (the Open Innovation Fund under the Polish Development Fund).
The legal consultancy consisted of giving opinions and constructing contractual clauses in the field of corporate governance, shareholder liability and disposal of shares, as well as participation in negotiations. The main challenge of the project was to reconcile interests of the new investor (EEC Magenta), previous investor (Germany-based fund) and new members of key personal that were committing to constant engagement in the company. Moreover, due to international nature of activities of the company (their products and services are sold abroad under different jurisdictions), our law firm needed to secure possibly damages arising out of incidents (incl. tax law infringement) that may happen under the jurisdiction of different countries than the seat of the company.
The implemented project is extremely important for our client, considering its calibre and impact on the company’s business development.
