Separation and transfer of the organised part of the company to a subsidiary worth PLN 110 million

Our Law Firm provided comprehensive legal support to a Polish company providing professional technical support in the financial, telecommunications, and hospitality sectors. Its activities are divided into three segments: Fintech, Enterprise Services, and Hoteltech.

The aim was to separate and transfer the organized part of the company’s business to a subsidiary. As part of the transaction written in two languages (Polish and English) we prepared detailed guidelines for the company, helped in the transfer of the workplace, intellectual property rights, and a series of contracts related to the operation of the company.

A team of more than a dozen lawyers worked on the project. Thanks to the transaction, the company will independently conduct business related to IT services in the field of telecommunications. The transfer was part of the restructuring of the group, related to the investment by the Enterprise Investostors fund, which will invest PLN 110 million in the company. The total value of the business after the transfer and investment is PLN 221 million.
