Professional assistance of KWKR: Software Mind’s investment in the Chmurowisko

Our law firm had the incredible pleasure of providing legal support to our regular client in its investment in a Polish company offering advanced cloud solutions.

Our client is Software Mind sp. z o.o., a Polish software house providing modern IT products and services for companies from the telecommunications, finance and banking, and energy sectors. In its research and development work, the company engages in the field of new technologies, conducting, among others, projects on semantic technologies or Web 3.0. The company cooperates with companies worldwide, including England, Wales, Switzerland, the United States.

Software Mind acquired a majority stake in Chmurowisko sp. o.o. At the same time, Software Mind took up shares in the increased share capital of the company, which altogether gives our client over 66% of shares in the share capital of Chmurowisko.

Chmurowisko also specializes in the IT industry. The company offers support in the development of cloud environments as well as migration of resources to the cloud and data processing in the cloud. Polish and global giants such as Media Expert, ABB, DPD, Polskie Radio have used the company’s services.

Our lawyers handled the transaction comprehensively, from drawing up the legal due diligence report, through negotiating the share purchase agreement and the investment agreement, to closing and finalizing the entire transaction. We are glad that our legal assistance enabled Software Mind to invest in such an innovative company that is in line with its development plans. We believe that thanks to this cooperation both companies will be able to increase their expansion on the Polish and foreign markets.
