KWKR projects worth remembering: advisory for Van der Vorm acquisitions

This time, we’re highlighting advisory work on acquisitions for Van der Vorm Vastgoed Groep – one of the leading Dutch investment funds with a long-standing presence on the Polish market. Thanks to numerous transactions in Warsaw and Kraków, the fund’s portfolio has now surpassed 1,000 residential units. Our long-term cooperation with this prestigious client in the Private Rented Sector (PRS) has solidified our position as one of the market leaders in legal advisory for real estate transactions.

Siennicka – comprehensive legal support under extreme time pressure

The project concerning the property on Siennicka Street in Warsaw perfectly illustrates the complexity of the transactions our lawyers handle. The subject of the deal was a completed multi-family residential complex with over 130 apartments, sold by Strus Development.

The challenge lay in the project’s multi-layered complexity. Our client required an extremely tight schedule – all work related to company incorporation, due diligence, and contract negotiation had to be carried out simultaneously. The seller was exerting strong time pressure, aiming to finalize the transaction in just two months. Additionally, prolonged contract negotiations posed a real risk to the success of the entire deal.

The success of this project was made possible by our lawyers’ negotiation skills and deep understanding of the industry and the realities faced by all parties. Warsaw, as one of the most demanding markets in Poland, poses specific challenges for professionals. Developers in the capital are often reluctant to sell completed buildings to funds, preferring unit-by-unit sales on the open market. This makes a completed building acquisition by a fund a rarity in Warsaw.

Finalizing this transaction, despite initial difficulties, confirms KWKR’s ability to operate effectively under the most demanding market conditions and highlights our experience in handling highly complex investment projects.

TRIOKraków – record acquisition in the center of Kraków

Our cooperation with Van der Vorm also led to success in Kraków, where in November 2022 the fund acquired the “TRIOKraków” complex – a modern set of 291 residential units in the city center. This was a record-breaking transaction in terms of the number of acquired units.

The complex includes 152 apartments intended for long-term rental and 139 units in a private student residence. KWKR provided comprehensive legal support, including due diligence of the acquired property and tax advisory.

The acquisition of the company from a German fund involved numerous legal challenges requiring deep specialist knowledge. The KWKR team was involved in analyzing German fund regulations, international tax structuring, and EU legal compliance. These factors, combined with the scale of the transaction, demanded top-level, cross-disciplinary legal expertise.
