A company listed on the Warsaw Stock Exchange

Our Law Firm advised the company, which is listed on the Warsaw Stock Exchange, in connection with its merger with an up-and-coming company manufacturing board games. The project covered agreeing on a merger plan, solving key legal issues related to new regulations concerning the offering of financial instruments and admitting them to organized trading that have been introduced domestically and at the EU level, as well as drafting comprehensive transaction documentation.

Handling the transaction required extensive experience in terms of mergers and public offerings concerning financial instruments, in particular in view of Regulation 2017/1129 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market. What is more, knowledge of the Warsaw Stock Exchange was necessary to ensure that the project goes smoothly. The project was successfully completed in June 2020.
