A company operating in the IT sector – entering into an investment project

We provided advisory with respect to the acquisition of 100% of the shares in the company by a Chinese company. Our lawyers designed the transaction structure, supported the due diligence review of the company and the transfer of software as a contribution to the company, and negotiated a set of transaction documents, including the shares purchase agreement, amendments to the AoA, and the employment contracts of key personnel. This case, entailed working in an international and multidisciplinary environment and required expertise in corporate law, tax law, and intellectual property law.
